Terms and Conditions

These Terms and Conditions govern the relationship between the service provider - the ImoHub platform (the Platform) - and the users of the Platform in connection with the use of the electronic services provided, in accordance with the Bulgarian Electronic Commerce Act (ECA), the Consumer Protection Act (CPA), the Personal Data Protection Act (PDPA) and Regulation (EU) 2016/679 (GDPR).

AyaTech LTD is not registered under the Bulgarian Value Added Tax Act.

ImoHub is an online platform for publishing and browsing real estate listings, enabling communication between users, managing viewing reservations, and providing a working environment for real estate brokers and agencies.

The Acceptable Use Policy, available at https://imohub.bg/en/acceptable-use, and the Listing Policy, available at https://imohub.bg/en/listing-policy, form an integral part of these Terms and Conditions.

For the purposes of these Terms and Conditions, the following terms have the following meanings:

• Platform - the website imohub.bg and the associated mobile applications, operated by AyaTech LTD.
• User - any natural or legal person who uses the Platform and is required to comply with these Terms and Conditions.
• Registered user - a user who has created an account on the Platform.
• Regular user - a natural person seeking or offering real estate for personal purposes, outside of any commercial or professional activity.
• Broker - a registered user carrying out real estate brokerage activities in a professional capacity.
• Organisation - a real estate agency registered on the Platform, bringing together brokers under a common corporate profile.
• Listing - information published by a user about a property (sale, rental or other type of transaction).
• Paid services - additional services provided for a fee: VIP listings, promotion, subscriptions, etc.
• AI Assistant - a Platform feature that uses artificial intelligence to provide informational answers.
• Guest - a person browsing the Platform without a registered profile or without being logged in.

The Platform is intended for legally capable persons who have reached the age of 18. By registering, the user declares that they have reached that age and are not subject to any legal incapacitation, and that they can bear responsibility for their own actions.

The Platform is used by:

• Guests.
• Regular users (natural persons) - seeking or offering real estate.
• Brokers and agencies - engaged in brokerage activities in real estate transactions.

Registration on the Platform: The user completes a registration form with the required data (first and last name, email, password) or registers via a Google or Apple account. The user reads these Terms and Conditions and the Privacy Policy and expressly accepts them by ticking the relevant checkboxes. The Platform sends a registration confirmation to the email address provided.

Each user may hold only one account. Creating multiple accounts by a single person is prohibited, except where separate accounts are held for personal and for commercial activity.

The user bears full responsibility for actions taken through their profile, including for the security of their password. If unauthorised access to the profile is detected, the user must notify ImoHub immediately at [email protected].

The user bears full responsibility for listings published by them, including for any legal consequences and/or damages arising from them.

ImoHub reserves the right to require verification of the user profile. Use of the Platform for the purpose of deception, fraud or otherwise in breach of the law is not permitted.

Registration requires confirmation of the email address. If the registration is not confirmed within 30 days, the account is not created.

The contract for the use of the Platform is deemed concluded from the moment of successful confirmation of the user's email address. Following conclusion, ImoHub sends to the email address provided a confirmation containing these Terms and Conditions on a durable medium, in accordance with Article 49 of the CPA and Article 7 of the ECA.

Brokers register on the Platform in a dedicated role. By registering as a Broker, the user declares that:

• they hold the qualifications and the right to offer properties in the capacity of intermediary;
• the data provided about their activity is accurate and up to date;
• they will promptly notify ImoHub of any change in the status of their qualifications or of the termination of their activity.

ImoHub bears no liability for the actions or services provided by Brokers, nor for the information they provide in the course of communications with other users of the Platform. Each Broker acts independently and at their own risk. Where inaccurate information is identified at the time of registration, the account is deactivated immediately.

Brokers may register Organisations (real estate agencies) and invite colleagues with different roles; the owner of the Organisation is responsible for the actions of all of its members on the Platform.

Users determine the content of the listing and may make full use of the functionality provided by the Platform. Users bear full responsibility for the content they publish as a listing, including for its accuracy and lawfulness.

Contact details must not be included in the listing content - they are entered in the relevant Platform form.

At the moment of publication, the user grants the Platform a full, unlimited and royalty-free permission to reproduce and distribute the entire listing or parts of it for the purpose of displaying it on the Platform and on affiliated organisations, sites and partners, including anywhere online and on the internet.

The Platform does not have full control over how the listing is used by other users or third parties online and therefore assumes no responsibility for the actions of third parties, including copying, distribution or other use of the uploaded content.

The Platform is not a party to transactions between users and bears no liability for their performance. The Platform does not provide brokerage, legal or financial advice.

When publishing a listing, the user agrees, declares and warrants that:

• the information about the property is true, accurate and up to date;
• the photos and videos correspond to the actual property and do not infringe the rights of third parties;
• the listing does not contain discriminatory content (within the meaning of the Bulgarian Protection Against Discrimination Act);
• they are entitled to publish the information - as owner, authorised person or authorised intermediary;
• the listing does not contain contact details in the description - communication is conducted through the Platform's built-in tools.

Additional listing requirements: publishing duplicate listings for the same property is prohibited; a listing is active for 30 days from publication, after which it is archived in the user's profile for 6 months; the user is obliged to take down or deactivate the listing within 3 calendar days after the property has been sold or rented; ImoHub reserves the right to deactivate listings which it reasonably believes are no longer current; ImoHub reserves the right to remove or restrict listings that breach these Terms, without prior notice.

Users bear full responsibility for the content they publish on the Platform. The following is prohibited:

• false, misleading or deceptive information;
• offensive, obscene, discriminatory or unlawful content;
• content that infringes copyright, trademarks or other intellectual property rights of third parties;
• spam, unsolicited advertising or promotional content outside the features provided for that purpose;
• content associated with money laundering, fraud or other unlawful activities.

ImoHub reserves the right to remove content that breaches these conditions, without prior notice.

Given the large volume of content uploaded, and despite continuous monitoring, ImoHub may not always be able to take down such content in a timely manner, and therefore bears no liability for any failure to do so in time.

When using the Platform, it is prohibited to:

• engage in automated data extraction (scraping, crawling) without explicit written consent;
• create fake listings or profiles;
• harass, threaten or otherwise abuse other users through the chat system or by any other means;
• circumvent security measures or attempt unauthorised access to accounts or systems;
• reverse engineer, decompile or disassemble the Platform's software;
• use the Platform for money laundering, terrorism financing or any other unlawful activity;
• publish discriminatory listings in breach of the Bulgarian Protection Against Discrimination Act;
• impersonate another individual or organisation.

Before making any payment for a paid service, the user receives clear and intelligible information regarding: the name and main characteristics of the service; the total amount due; the payment method and conditions; the duration of the service and the conditions for its termination. Payment is deemed confirmed only once the user has reviewed and accepted that information.

ImoHub offers the following paid services:

• VIP and TOP listings - priority placement in search results.
• Listing promotion - increased visibility for a defined period.
• Subscription plans - packages for individual users and Organisations with extended features and a higher listing limit.

The conditions and current prices of the paid services are published on the site. All prices are displayed in euros (EUR) and Bulgarian leva (BGN). AyaTech LTD is not registered under the VAT Act; accordingly, the prices do not include VAT.

Paid services are processed through the Stripe payment system. ImoHub does not store bank card data - it is processed directly by Stripe in accordance with the PCI DSS standard.

Rules for subscriptions and one-off services:

• Subscription plans renew automatically. The user may cancel the subscription at any time from the profile settings. Cancellation takes effect at the end of the current paid period.
• One-off paid services (listing promotion) are non-refundable, except in the case of a technical error on the part of the Platform.
• ImoHub issues electronic invoices/receipts for each payment, available in the user's profile.
• Before a subscription is renewed, ImoHub sends an email notice at least 7 days in advance with information about the upcoming payment and how to cancel.

Every User who is a natural person and has concluded a contract with ImoHub for a paid service is entitled to terminate the contract within 14 days from the date of its conclusion, without having to justify their decision.

To do so, the user must send a written notice to [email protected] or to the registered address of AyaTech LTD. Upon exercising this right, all active contractual relationships between the User and ImoHub in connection with the service in question are considered terminated.

A model form for exercising the right of withdrawal is provided in the next section.

The above right is not applicable in two cases: where the relevant service has already been fully performed and/or ImoHub has fulfilled its obligation to publish or promote the listing, or where the contract concerns digital content not supplied on a tangible medium - in both cases, only where performance has commenced with the User's express prior consent (Article 57, para 1, items 1 and 13 of the CPA).

By accepting these Terms and Conditions, the User expressly declares in advance that they are aware of these limitations and agrees that, in the event they occur, the right of withdrawal cannot be exercised.

Brokers and Organisations who do not accept forthcoming changes to the Terms and Conditions may terminate the service agreement for their profile by notifying ImoHub within 15 days of the publication of the changes, in accordance with the procedure provided in these Terms and Conditions. Termination takes effect upon expiry of that 15-day period. It does not, however, take effect if, within that period, the User withdraws the notice or performs an action on the Platform which unambiguously expresses acceptance of the new conditions - such as, for example, publishing a new listing.

Pursuant to Article 47, para 1, item 8 of the Consumer Protection Act, the following standard withdrawal form is provided:

The form may be sent by email to [email protected] or by post to the address above. The User may use this form but is not obliged to do so - an unequivocal statement of withdrawal is sufficient.

The Platform provides an AI Assistant which uses an external AI service (Fireworks.ai) to process queries.

The AI Assistant provides informational answers and does not constitute professional advice (legal, financial, investment or otherwise).

AI responses may contain inaccuracies or incomplete information. The User is responsible for independent verification of any important information.

Messages sent to the AI Assistant are processed by third parties (Fireworks.ai). The data is not used to train AI models. More information is available in the Privacy Policy.

ImoHub bears no liability for decisions taken on the basis of the AI Assistant's responses, nor for the responses themselves.

The User should not share sensitive personal data (national ID, financial data, passwords) in conversations with the AI Assistant.

All rights in the design, logo, trademarks, software and original content of the Platform belong to AyaTech LTD and are protected by copyright within the meaning of Article 3, para 1, item 1 of the Bulgarian Copyright Act. They may not be used, copied or distributed in any manner, including in other websites, broadcasts, articles or any information source, nor in any other way, without the express written consent of AyaTech LTD, pursuant to Article 35 of the Bulgarian Copyright Act.

Users retain their rights in the content they publish (photos, descriptions, videos). By publishing, the user grants ImoHub a non-exclusive, royalty-free licence to display, distribute and promote the content within the Platform, for the duration of the publication plus a reasonable period for archiving and caching.

If content published on the Platform infringes copyright or other intellectual property rights, a complaint must be submitted to [email protected] with a description of the infringement. If the complaint is submitted by a representative of a third party, a power of attorney must also be provided.

In addition to the power of attorney, the complaint must include a complete list of hyperlinks to the reported content and evidence of the intellectual property right or other right. Copyright holders must provide evidence of originality and authorship of their work.

None of the foregoing clauses shall be construed as a waiver of any intellectual property right.

ImoHub reviews complaints of intellectual property infringement within 14 business days of receipt and informs the complainant of the measures taken.

Where an intellectual property infringement is established through user-generated content, ImoHub reserves the right to remove the content in question immediately and without prior notice, as well as to restrict or terminate access to the infringer's account.

ImoHub is an intermediary platform and is not a party to transactions between users. Accordingly:

• ImoHub does not guarantee the accuracy, completeness or timeliness of the information contained in user listings.
• ImoHub does not guarantee uninterrupted or error-free operation of the Platform. Interruptions may occur due to maintenance or force majeure.
• ImoHub is not liable for damages arising out of relationships between users, including from real estate transactions.
• ImoHub is not liable for lost profits or for indirect or consequential damages arising from the use of the Platform.
• ImoHub does not verify the ownership title or the legal status of the properties listed.
• ImoHub bears no liability for the actions or services of Brokers and Organisations registered on the Platform.
• ImoHub bears no liability for the actions of guests and/or registered users, including for communications between them and for information shared between users.
• ImoHub's total liability is limited to the amount paid by the user for paid services during the last 12 months.

This limitation of liability does not exclude or limit ImoHub's liability for damages caused by intent or gross negligence, in accordance with Bulgarian law.

ImoHub has no general obligation to monitor the information it transmits or stores, nor to actively seek facts or circumstances indicating unlawful activity.

ImoHub is not liable for any non-performance or delayed performance of its obligations where this is due to circumstances beyond its control, including but not limited to: natural disasters, fires, floods, earthquakes, epidemics, wars or armed conflicts, acts or decisions of public authorities, interruptions of electricity or internet connectivity, cyberattacks or other malicious acts by third parties. In such cases, ImoHub informs users at the earliest opportunity and makes efforts to restore the normal operation of the Platform as soon as possible.

The Platform may contain references or links to pages and services of third parties, including Google Maps and social networks. ImoHub exercises no control over their content, privacy policies or operation, and bears no liability for any damages arising from their use. Visiting external sites is entirely at the user's risk and responsibility.

ImoHub endeavours to maintain a safe and lawful environment for all users. For that purpose, the following mechanisms are in place:

Any person who notices content on the Platform which they consider unlawful or in breach of these Terms and Conditions may report it via the reporting button on the relevant listing, or by sending a description of the violation and a link to the content to [email protected].

Where measures are taken against specific content or an account - such as removal, restriction or suspension - ImoHub notifies the affected user, stating the reasons and the applicable rules, together with information on how the decision may be challenged.

A user who disagrees with a measure taken against their content or account may lodge a complaint within 6 months via [email protected]. ImoHub reviews each complaint and informs the user of the outcome within a reasonable time. If no agreement can be reached, the user may refer the dispute to a certified out-of-court dispute resolution body.

The user may delete their account at any time through the profile settings or by sending a request to [email protected].

ImoHub may, but is not obliged to, restrict or terminate access to an account in cases of:

• breach of these Terms and Conditions;
• abuse of the Platform or its functions;
• publication of prohibited content;
• suspicion of unlawful activity;
• inactivity for more than 24 months - ImoHub notifies the user 30 days in advance.

Upon termination: the user's listings are deactivated; personal data is processed in accordance with the Privacy Policy (including statutory retention periods); any unpaid amounts remain due.

The clauses concerning intellectual property, limitation of liability and dispute resolution survive termination of the contract.

By accepting these Terms and Conditions, the user confirms that they have read the Privacy Policy. Consent to the processing of personal data and to the use of cookies is separate and independent from acceptance of these Terms and Conditions.

These Terms and Conditions are governed by and construed in accordance with Bulgarian law.

Disputes between the user and ImoHub are resolved by mutual agreement. Where no agreement can be reached, the dispute is referred to the competent Bulgarian court at the registered seat of AyaTech LTD (Varna).

This jurisdiction clause does not deprive users who are natural persons of the protection afforded by the mandatory rules of the law of the country of their habitual residence, in accordance with Regulation (EC) No 593/2008 (Rome I), Article 6(2).

ImoHub reserves the right to amend these Terms and Conditions in cases of: necessary security or functionality improvements; changes to the Paid services; introduction of new services; changes in applicable law.

In the event of material changes, users will be notified by email and/or through a prominent notice on the Platform at least 30 days before the changes take effect.

If the user does not agree with the changes, they have the right to terminate their account before the changes enter into force. Continued use of the Platform after notification is deemed acceptance of the amended conditions.

The changes do not affect Paid services already purchased and active before the date on which they enter into force.
